A. Definition

Sunway City

: Sunway City Berhad and SunwayMas Sdn Bhd and their subsidiaries

SPA

: Sales and Purchase Agreement

PALS

: Privileged Advantages for Loyal Supporters

Member

: Member of SunCity PALS Programme

B. Membership

Eligibility

Membership in the PALS Programme is open to all Sunway City's property purchasers.

A Member shall be one of the following persons:-

(a)

(i)

Purchaser(s), if an individual, as named in the SPA; or

(ii)

In the case of a company stated as Purchaser in the SPA, then a maximum of two of the SPA signatories can be Members.

(b)

(i)

Purchaser(s), if an individual, who purchased property(ies) developed by Sunway City by way of a subsale : or

(ii)

In the case of a company stated as Purchaser in the SPA who purchased property(ies) developed by Sunway City by way of a subsale, then a maximum of two of the subsale SPA signatories can be Members.

provided that the subsale SPA in 1(b)(i) and 1(b)(ii) above is executed before the transfer of legal ownership of the property(ies) by Sunway City / original proprietor to its beneficial owner.

C. Membership Privileges


1.		PALS Rebate

	(a)		Members will be entitled to the PALS Rebate on their next property purchase of participating Sunway City development projects, maximum 3 units per Member per project.

	(b)		The property(ies) purchased can be in the Member's name or in the names of his/her immediate family members (legal spouse and children), or in his/her company name provided he/she is one of the SPA signatories.

	(c)		PALS Rebate is based on / or the nett discounted price (after the bumiputera discount, early bird discount, and any other rebate and promotion, where applicable) of property at individual participating Sunway City development project.

	(d)		PALS Rebate cannot be used in conjunction with the Sunway staff discount, and / or any special promotion offered to a specific group or organization.

	(e)		PALS Rebate is applicable to participating Sunway City development projects only. It is bound by the Terms and Conditions of respective participating Sunway City development project.

	(f)		PALS Rebate is applicable for property purchases on or after 1 st May 2007.

	(g)		Sunway City reserves the right to adjust the PALS Rebate value for redemption as well as to replace the PALS Rebate value without prior notice.

2.		Members will be notified of Sunway City's property launches, subject to participating Sunway City development projects.

D. Redemption Procedure


1.		Members shall only be entitled to the PALS Rebate, in the form of a Credit Note which will be used to offset against the 2 nd or future progressive payment of the purchase price, after all of the following are completed:-

	(a)	The execution of the SPA of the Member's next property purchase (the SPA must be duly signed and stamped);

	(b)	Payment of the 10% of the purchase price by the Member.

2.		Members must present the following when making property purchases

	(a)	Identification card.

	(b)	Marriage certificate or children birth certificate (whichever is applicable) if the property is purchased in the name of the Member's immediate family members (legal spouse and children);

	(c)	Form 24 and 49, and Company/Director's resolution authorizing the purchase of the property, i f it is purchased in company name.

3.		In the event the end-financier grants to the Member higher financing and releases to Sunway City payment in excess of the amount due to Sunway City, the excess payment will be released to the Member by cheque upon Sunway City's receipt of Member end-financier's first release to Sunway City.

4.		Sunway City reserves the right to refuse the redemption of PALS Rebate or recall the unutilized PALS Rebate if Sunway City has any reason to suspect that the Rebate rewards were fraudulently obtained by the Member through any means of falsification or misrepresentation.

5.		Should the SPA be terminated for any reason whatsoever, then without prejudice to any other rights and remedies to which Sunway City are entitled under the SPA or otherwise in law, the said PALS Rebate will be withdrawn and Sunway City shall not be liable to refund to the Member the said PALS Rebate.

E. General


1.				Members are bound by the Terms and Conditions stated herein.

2.				Members are responsible for notifying Sunway City via writing/electronic mail/telephone of any updates on their profiles, any changes in address or any other contact information in order for Sunway City to send notification or update on the PALS programme.

3.				These membership privileges are for Members only and they are non-transferable.

4.				Members may at any time terminate their membership by writing to Sunway City. In the event of termination by the Member for any reason whatsoever, Sunway City shall not be responsible for the non-redemption of the membership privileges and the membership privileges will thereafter be terminated

5.				Sunway City may, at its sole discretion, terminate the membership without prior notice for any reason.

6.				Sunway City reserves the right to cancel this PALS programme, withdraw, substitute or vary any of the Terms and Conditions or privileges stated herein from time to time without prior notice.

7.				Any cancellation, substitution or variation by Sunway City of this PALS programme's Terms and Conditions or any of its privileges contained herein shall not entitle the Member to any claim or compensation from Sunway City for any loss or damages suffered or incurred by the Member, whether caused directly or indirectly.

8.				Sunway City reserves the right to use any information of the Member for sharing the information with other companies within the Sunway group for the purpose of marketing, survey or latest updates of Sunway City PALS. All correspondences shall be deemed delivered to the Member if posted to the Member's address as appearing in Sunway City records.

9.				Any taxes or other charges whatsoever arising from a Member's participation in the PALS programme remains the responsibility of the Member.

10.				In the event of any dispute(s) whatsoever, the decision by Sunway City shall be final, conclusive and binding.

11.				In the event there is a discrepancy in the interpretation of the Terms and Conditions herein and/or communication thereof to Members arising from the use of different languages such as English, Bahasa Malaysia and Mandarin, the English interpretation and/or communication shall prevail.
